This Confidentiality Agreement (this “Agreement”) contains the terms under Yeh IDeology services/facilities provides to you. You must read, agree, and accept all terms and conditions contained in this Agreement and expressly referenced in this Agreement before purchase.

By signing up for this service, you acknowledge that you may observe or inadvertently be exposed to confidential or proprietary information of Yeh IDeology and/or Yeh IDeology clients (collectively, “Discloser”).  As a condition to such access to Yeh IDeology facilities, you recognize a relationship of trust and confidence with Yeh IDeology and agree to the following:

1. CONFIDENTIAL INFORMATION. “Confidential Information” means any and all technical and non-technical information including but not limited to patent, copyright, trade secret, and proprietary information, techniques, know-how, processes, and formulae related to Discloser’s past, current, future and proposed products and services, and includes, without limitation, Discloser’s information concerning research, experimental work, development, design details and specifications, engineering, financial information, procurement requirements, purchasing or manufacturing information, customer lists, business forecasts, sales and merchandising and marketing plans and information. “Confidential Information” includes any and all information which may have been disclosed in the past to you and any and all information that is hereafter disclosed to you. Confidential Information, however, does not include any information that (i) is now or later becomes available to public through no fault of mine, (ii) is lawfully received by me from a third party without confidentiality restrictions, (iii) I can establish by your written records was known to you prior to disclosure by Discloser, or (iv) is published or disclosed by Discloser to a third party without restrictions on disclosure.
2. NONDISCLOSURE AND NONUSE OBLIGATIONS. You agree not to make use of, disseminate, or in any way disclose Confidential Information to any person, firm or business, including, without limitation, your employer. You agree to treat all Confidential Information of Discloser with the same degree of care as you accord to your own Confidential Information and you represent and warrant that you exercise at least a reasonable degree of care to protect your own Confidential Information. You agree to immediately notify Yeh IDeology of any unauthorized use or disclosure of the Confidential Information and will assist Yeh IDeology in remedying any such unauthorized use or disclosure.
3. NO REMOVAL OF YEH IDEOLOGY  PROPERTY OR DISCLOSURE OF THIRD PARTY INFORMATION. You agree not to remove from Yeh IDeology premises any documents, files, records, correspondence, notes, or other papers or source of information (i.e., CD-ROMs, hard drives, USB thumb drives, etc.), including copies, except with permission of an authorized Yeh IDeology representative. You understand that you are not to disclose to Yeh IDeology any information in violation of any third party’s proprietary rights.
4. OWNERSHIP OF CONFIDENTIAL  INFORMATION  AND OTHER MATERIALS. You understand that all Confidential Information, and any derivatives thereof by whomever created, is and remains the property of the respective Discloser and no license or other rights to Confidential information is granted or implied hereby.
5. TERM. You agree that the foregoing restrictions on the use and disclosure of Discloser’s Confidential Information shall continue for five (5) years from the date of disclosure.
6. GOVERNING LAW; WAIVER. This  Agreement will be construed in accordance with and performance will be determined by, the laws of the State of New York without application of its conflicts of laws principles. You understand and agree that Yeh IDeology’s waiver of any breach of any provision of this Agreement by you shall not operate or be construed as a waiver of any other or subsequent breach by you.
7. INJUNCTIVE RELIEF. You understand and agree that any breach of any of the promises or agreements contained herein will result in irreparable and continuing damage to the respective Discloser for which there will be no adequate remedy at law and such Disclosure shall be entitled to injunctive relief and/or a decree for specific performance, and such other relief as may be proper (including monetary damages if appropriate).
